Amplifon borrows $2.23 billion to finance GN Hearing acquisition

Amplifon has taken out a $2.23 billion loan to help finance its proposed acquisition of GN Hearing.

Amplifon said the senior loan was entered into with a pool of leading financial institutions, including Goldman Sachs Bank Europe SE and J.P. Morgan SE, acting as global coordinators.

A senior loan (or senior debt) is a type of corporate loan that holds the highest priority for repayment. If the borrower defaults or goes bankrupt, senior lenders are the first to get paid back from liquidated assets, making them the safest tier of debt in the capital structure.

Amplifon said the financing, together with the proceeds from an equity raise completed on 22 May 2026, was aimed at funding the cash component of the acquisition, including transaction costs.

“The senior loan has a maximum duration of 24 months, including an option for extension, and is subject to terms and conditions in line with market standards for comparable transactions,” Amplifon said in a media release on 23 June 2026.

Amplifon said that, as disclosed on 16 March 2026, the closing of the acquisition of GN Hearing was expected by the end of 2026, subject to customary conditions precedent and regulatory approvals.

Amplifon announced in March 2026 that it would buy GN Hearing for $3.6 billion.

The deal will create a new vertically integrated group spanning manufacturing and retail distribution, the companies said in media releases on 16 March 2026.

At the time, Amplifon said it was “the most transformative acquisition in our 75-year-long history, that will fundamentally change the future of the hearing care industry worldwide”.

And GN said the combination would create “the industry leader in hearing care solutions and services worldwide with benefits to audiologists, consumers and investors”.

Amplifon said, at the time, that the new group would have combined revenues of about A$5.37 billion and would form a global powerhouse uniquely positioned to accelerate innovation.

Amplifon, which says it is the world’s largest hearing aid retail network, has more than 10,000 stores globally including more than 350 in Australia. GN Hearing manufactures hearing aids with key brands including ReSound and Beltone.
